Overview:

The U.S. Securities and Exchange Commission (SEC) recently proposed climate disclosure rules which would require public companies to prepare a comprehensive reporting of their climate-related risks, emissions, and net-zero transition plans. Aside from systemic changes to disclosure requirements, adoption of the new rules may also influence the overall strategy, management, and oversight of climate-related risks and opportunities.

The proposal is likely to drive significant changes to the existing public-company disclosure regime. Thus, industry participants should focus their efforts on preparing for and complying with the new disclosure regime ahead.

Dr. Cheng specializes in analyzing unstructured accounting materials for complex business transactions involving financial accounting issues.  Among her experiences supporting corporate and government clients in litigations, arbitrations and regulatory proceedings, she has worked with complex, unstructured data from numerous types of materials to analyze accounting-related issues, conduct financial forensic investigations, develop business valuations, and evaluate damages and lost profits.

Additionally, Dr. Cheng supports clients and experts to assess issues concerning accounting practice, disclosure, and internal control under the guidance of US and international accounting standards.  She has also consulted on accounting related matters for utility companies regulated by the Federal Energy Regulatory Commission and state regulators.  She is a certified public accountant (CPA) and a certified fraud examiner (CFE).

Ms. Schonwald specializes in securities litigation matters, including M&As, valuations, as well as electricity and sustainability matters. With several years of experience working in the energy and manufacturing sectors as well as in consulting, she has a particular interest in environmental issues and in the pharmaceutical and technology industries, as well as government matters. Prior to joining Brattle, Ms. Schonwald gained experience in corporate finance at Pfizer. She began her career overseeing the remediation of contaminated land for real estate developments in New York City, then worked on research in Arizona to mineralize carbon dioxide from air for safe long-term storage to mitigate climate change.

Jason A. Shaffer works on litigation matters, including securities and shareholder suits, bankruptcy litigation, complex commercial litigation, and appeals. He also represents government contractors in debarment cases, bid protests, and False Claims Act and qui tam suits, and he represents individuals and corporations in white collar matters. Jason handles all phases of these cases. His work includes drafting motions, briefs and other filings; managing discovery review and production; preparing for fact and expert witness depositions and testimony; and serving as a member of trial and appellate teams. He also commits significant time to pro bono matters.

Jason previously clerked on the U.S. Court of Appeals for the Fifth Circuit and the U.S. District Court for the District of Columbia. Between those clerkships, he worked as an associate in the Washington, DC, office of a global law firm. A certified public accountant (now inactive), Jason worked as an auditor at a multinational professional services consulting company before attending law school.
