Miguel Eaton guides clients through complex employee benefits issues that present significant business challenges. Miguel began his career litigating ERISA and other issues and grew his practice to include counseling on benefits issues in M&A and cyber, executive compensation, and litigating benefits issues in bankruptcy. He co-chairs the Employee Benefits & Executive Compensation Practice.

A significant portion of Miguel’s practice involves multiemployer plans, including counseling employers, litigating withdrawal liability, and advising on M&A matters. He also advises benefit committees regarding participants’ claims. Miguel’s litigation experience includes defending ERISA class actions and companies being investigated by the Departments of Labor and/or Justice.

Rami Glatt , Principal

Rami has ten years of executive and board compensation consulting experience. He works across a variety of industries, with depth of expertise in Real Estate, Industrials, as well as private-to-public transitions. Rami serves as Semler Brossy’s lead liaison and technical expert on ISS and Glass Lewis.

Rami brings experience across a broad range of compensation issues, including:

Simona Mola , Senior Manager
Cornerstone Research

Simona Mola is a Senior Manager at Cornerstone Research, where she conducts financial and economic analyses in complex commercial litigation and regulatory proceedings.

Dr. Mola has nearly two decades of experience in consulting, government, and academia. She served as Assistant Director and Senior Policy Advisor in the Division of Economic and Risk Analysis (DERA) at the U.S. Securities and Exchange Commission (SEC). At DERA, she led and developed numerous economic analyses for high-profile rulemakings, including executive compensation rules mandated by the Dodd-Frank Act such as pay ratio, pay-for-performance disclosure obligations, clawback of erroneously awarded compensation, and incentive-based compensation at financial institutions.

Before joining the SEC, Dr. Mola was an assistant professor of finance at Arizona State University. Her research has been published in the Accounting Review, the Journal of Financial Economics, the Journal of Financial and Quantitative Analysis, and the Journal of Behavioral Finance. Dr. Mola regularly presents at domestic and international conferences, and has been honored with two best paper awards. In addition, she has expertise with economic issues involving cryptocurrency, initial coin offerings (ICOs), blockchain use cases, and token economies.
