Broadcast Date: Tuesday, March 08, 2022
from 12:00 pm to 1:00 pm (ET)

Despite the economic hurdles brought by the pandemic last year, 2021 saw an upsurge of initial public offerings (IPOs) through special purpose acquisition companies (SPACs). The sudden increase, which continued this 2022, has prompted the Securities and Exchange Commission (SEC) to better probe all related activities involving SPACs and ensure that these transactions are compliant with existing laws. While this move meant a safer and more reliable transition for private companies wanting to go public, it has also opened newer risks of litigation and enforcement actions.

Join securities law expert Adrienna Huffman (The Brattle Group) as she brings the audience a comprehensive discussion of recent SPAC-related acquisitions. Adrienna will delve into an in-depth analysis of the current trends, litigation risks, and provide practical compliance strategies for transitioning private companies amidst a rapidly evolving legal climate. Adrienna will also moderate a Q&A with Samantha S. Martin (U.S. Securities and Exchange Commission) for further insights.

This LIVE Webcast will discuss the following key topics:

  • Overview of the SPAC Context
  • Recent SPAC Acquisitions
  • Litigation Hurdles
  • SEC Enforcement Actions
  • Practical Compliance Tips
