Securities and shareholders’ litigation is already building an eventful year ahead. The past year has shown a higher record of new federal securities fraud class actions filed and this trend is continuing up until now. The nearly doubled number of filed cases may have been due to the decisions made by the Delaware Court of Chancery that critically limits the ability of stockholders to resolve breach of fiduciary duty claims against directors in the M&A context.

Zheyao is an experienced class and collective action litigator, having defended companies and individuals in complex cases for over a decade. He has extensive substantive experience in securities and shareholder litigation, and wage-and-hour disputes involving both federal and state law issues. Zheyao began his career by directly confronting the challenges of the credit crisis and Great Recession. He has helped companies, boards of directors, and officers navigate and defeat allegations of securities fraud, breach of fiduciary duty, wage-and-hour violations, ERISA violations, and other claims in many complex cases. He has resolved cases favorably in a variety of ways, from outright dismissal to defeating or limiting class certification, to defending victories on appeal. Whenever possible, Zheyao also seeks to narrow discovery and leverage technological tools to reduce the costs of any necessary electronic discovery.
