Overview:

The Federal Trade Commission (FTC) recently released the annual adjustments to the transaction thresholds under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act), which increased the minimum dollar threshold for premerger reporting. To realign with the changes in the gross national product, the new minimum transaction threshold has now increased to $101 million. The FTC and the Department of Justice (DOJ) Antitrust Division also continue their commitment to streamline and strengthen antitrust enforcement by revising the merger guidelines.

To avoid a hefty amount of civil penalties, parties involved in mergers and acquisitions must be well-versed in the latest regulatory developments and proactively review their reporting obligations to ensure compliance.

Thomas Dyer is an associate in the Denver office of Lewis Brisbois and a member of the Antitrust & Competition Practice. His practice also focuses on Corporate Transactions and Litigation, and Securities Litigation. Thomas represents public and private companies in a wide array of matters, including civil litigation, compliance, transactional and document drafting, and other corporate work. Thomas worked for Lewis Brisbois as a clerk during his final year of law school before joining the firm as an associate.

Nathan is a litigation associate, with an emphasis on antitrust matters, in Winston and Strawn’s Washington, D.C. office. In addition to his litigation practice, Nathan maintains an active antitrust merger review practice where he assists clients in investigations of mergers and acquisitions before the Federal Trade Commission and the Department of Justice. Nathan’s experience in merger review includes preparation of Hart-Scott-Rodino (“HSR”) filings, analyzing where foreign competition filings may be required, analyzing the reportability of transactions under the HSR Act, and responding to government inquiries and Second Requests to obtain pre-merger approval.
